These Terms of Service (“Terms”) govern your access to and use of ModelRelay’s API gateway service (“Service”) operated by ModelRelay (“we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service Description

ModelRelay provides an API gateway that enables you to:

  • Route requests to AI model providers (Anthropic, OpenAI, Google, etc.)
  • Manage API keys and authentication for your applications
  • Track usage and billing for your end users
  • Access AI models through a unified API

2. Account Registration

2.1 Account Creation

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials.

2.2 Account Responsibility

You are responsible for all activity under your account. Notify us immediately of any unauthorized use at security@modelrelay.ai.

2.3 Age Requirement

You must be at least 18 years old to use the Service.

3. Acceptable Use

3.1 Permitted Use

You may use the Service to build and operate applications that make requests to AI providers through our API.

3.2 Prohibited Use

You agree NOT to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit malware, viruses, or harmful code
  • Attempt to gain unauthorized access to our systems
  • Use the Service to generate illegal, harmful, or abusive content
  • Resell or redistribute the Service without authorization
  • Circumvent usage limits or billing mechanisms
  • Use the Service in ways that violate AI provider terms of service
  • Engage in activities that could harm minors
  • Generate spam, phishing content, or misleading information
  • Create deepfakes or non-consensual intimate imagery

3.3 AI Provider Terms

Your use of AI models through ModelRelay is also subject to the terms of the underlying AI providers:

You are responsible for ensuring your use complies with all applicable provider terms.

4. API Keys and Security

4.1 API Key Confidentiality

API keys (secret keys, publishable keys) are confidential. You must:

  • Keep secret keys secure and never expose them in client-side code
  • Rotate keys if you suspect compromise
  • Use appropriate key types for each use case

4.2 Key Misuse

You are liable for all usage incurred through your API keys, whether authorized or not.

5. Billing and Payment

5.1 Pricing

Current pricing is available at https://modelrelay.ai/pricing. We may change pricing with 30 days notice.

5.2 Payment Terms

  • Payments are processed through Stripe
  • You authorize us to charge your payment method for usage fees
  • Fees are non-refundable except as required by law
  • Disputed charges must be reported within 60 days

5.3 Prepaid Balance

If you maintain a prepaid balance:

  • Balance is used to cover API usage costs
  • Unused balance is non-refundable
  • We may suspend service if balance is insufficient

5.4 Taxes

Fees are exclusive of taxes. You are responsible for all applicable taxes.

6. Your Data

6.1 Ownership

You retain ownership of all data you submit to the Service (“Your Data”). This includes prompts, application data, and end user information.

6.2 License to Us

You grant us a limited license to process Your Data solely to provide the Service. We do not use Your Data to train AI models.

6.3 Data Processing

Your Data passes through our servers to reach AI providers. See our Privacy Policy for details on data handling.

6.4 Backups

You are responsible for maintaining backups of Your Data. We do not guarantee data recovery.

7. Intellectual Property

7.1 Our IP

ModelRelay and its associated trademarks, logos, and documentation are our property. These Terms do not grant you rights to use our branding.

7.2 Feedback

If you provide feedback or suggestions, we may use them without obligation to you.

8. Third-Party Services

The Service integrates with third-party AI providers and payment processors. We are not responsible for third-party service availability, terms, or conduct.

9. Service Availability

9.1 No SLA

Unless you have a separate service level agreement, we do not guarantee specific uptime or availability.

9.2 Maintenance

We may perform maintenance that temporarily affects service availability. We will provide reasonable notice when possible.

9.3 Modifications

We may modify, suspend, or discontinue any part of the Service at any time.

10. Limitation of Liability

10.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MODELRELAY SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
  • DAMAGES EXCEEDING THE FEES YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM

10.3 AI Output Disclaimer

AI-generated outputs may be inaccurate, biased, or inappropriate. You are responsible for reviewing and validating AI outputs before use.

11. Indemnification

You agree to indemnify and hold harmless ModelRelay from claims, damages, and expenses (including attorney fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of third-party rights
  • Content you transmit through the Service

12. Termination

12.1 Termination by You

You may close your account at any time through the dashboard or by contacting support.

12.2 Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in abusive or fraudulent activity
  • Fail to pay fees when due
  • Pose a security risk

12.3 Effect of Termination

Upon termination:

  • Your access to the Service ends immediately
  • Outstanding fees become due
  • We may delete your data after a reasonable retention period
  • Provisions that should survive termination will survive

13. Dispute Resolution

13.1 Informal Resolution

Before filing any legal claim, you agree to contact us at legal@modelrelay.ai and attempt to resolve the dispute informally for at least 30 days.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ModelRelay.

14.2 Amendments

We may update these Terms by posting the revised version. Continued use after changes constitutes acceptance.

14.3 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

14.4 Waiver

Failure to enforce a provision does not waive our right to enforce it later.

14.5 Assignment

You may not assign these Terms without our consent. We may assign our rights freely.
